By accessing and using Race Equity Consult's website and Race Equity Toolkit ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Service Description

Race Equity Consult provides:

  • Professional Consulting Services: Race equity consulting, training, and advisory services
  • Race Equity Toolkit: Web-based assessment tool for organizations to evaluate race equity practices
  • Educational Resources: Content, guides, and e-learning materials on race equity topics

3. User Accounts and Credentials

3.1 Toolkit Owner Accounts

  • You are responsible for maintaining the confidentiality of your account credentials
  • You agree to notify us immediately of any unauthorized access to your account
  • You are responsible for all activities conducted under your account
  • You may not share your account credentials with others

3.2 Assessment Respondent Credentials

  • Generated credentials are pseudo-anonymous and not linked to personal identities
  • Respondents must keep their credentials confidential
  • Each credential is intended for single-user, single-assessment use
  • Organizations must distribute credentials responsibly and in compliance with their internal policies

4. Acceptable Use Policy

You agree NOT to:

  • Use the Services for any unlawful purpose or in violation of applicable laws
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Transmit viruses, malware, or any harmful code
  • Scrape, harvest, or collect data from our Services without permission
  • Impersonate others or misrepresent your affiliation
  • Interfere with or disrupt the Services or servers
  • Share assessment credentials inappropriately or use them fraudulently

5. Assessment Toolkit - Specific Terms

5.1 Assessment Data

  • Organizations own their assessment data and aggregated results
  • Individual responses are stored anonymously and aggregated for organizational reporting
  • We do not use assessment data for purposes beyond providing the Service
  • Organizations are responsible for how they use and share their assessment results

5.2 Data Accuracy

  • Assessment results are based on respondent input and organizational data
  • We do not guarantee the accuracy of user-provided information
  • Results should be used as a diagnostic tool, not as definitive conclusions
  • Organizations should interpret results with appropriate context and expertise

6. Intellectual Property

All content, features, functionality, trademarks, logos, and intellectual property on our Services are owned by Race Equity Consult or our licensors. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

7. Service Availability

We strive to provide reliable access to our Services, but we do not guarantee:

  • Uninterrupted or error-free access
  • That defects will be corrected immediately
  • That the Services will be free from viruses or harmful components

We reserve the right to modify, suspend, or discontinue Services with or without notice.

8. Limitation of Liability

To the fullest extent permitted by law, Race Equity Consult shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your access to or use of (or inability to access or use) the Services
  • Any conduct or content of third parties
  • Unauthorized access, use, or alteration of your content or data

9. Disclaimer of Warranties

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

10. Indemnification

You agree to indemnify and hold harmless Race Equity Consult, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Services or violation of these Terms.

11. Termination

We may terminate or suspend your access to our Services immediately, without prior notice, for:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Non-payment of fees (if applicable)
  • At our discretion, for any reason

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to conflict of law principles. Any disputes shall be resolved in the courts of England and Wales.
